Cost and how long does it take to register a limited liability company (sp. z o.o.) in Poland

When registering a business in Poland, there are usually two main factors that are crucial: cost and time. Registering a limited liability company (i.e. spółka z ograniczoną odpowiedzialnością or simply sp. z o.o.) requires different amounts of money and time depending on the type of procedure you choose.

There are basically two ways to register a limited liability company in Poland:

1. By filing an application with the registration court in the form of a document.
2. File an application with the Court for registration electronically in the 24-digit electronic system.

Application to court for registration on paper
This is the “traditional” way of registering a company. Basically, you prepare all paper registration documents (you will need to go to a notary to sign the partnership agreement), file electronically on the PRS portal (https://prs.ms.gov.pl/) and submit all hard copies to the recording court.

How much does it cost?
This is a more expensive process. The fees are:

1. Notary fees – this depends on the amount of share capital.
If the minimum share capital is 5000 PLN, the notary fees are 160 PLN + VAT (total 196.80 PLN) + total hardcopy costs of approximately 150 PLN = 346.88 PLN.
2. Sworn interpreter fee – If a shareholder does not speak Polish, you must have a sworn interpreter present at the notarial meeting. Sworn translation fees vary by language.
3. Civil law transaction tax (PCC tax) – also depends on the amount of share capital.
If the minimum share capital is 5000 PLN, the tax is 21 PLN.
4. Court filing fee – 600 PLN in total.
5. Legal aid fees (optional) – Depends on the price of the lawyer’s services.
When registering a company with a minimum share capital of 5000 PLN, you should expect a fee of 967.88 PLN + possible costs for sworn translation and legal aid. These fees will increase if your share capital is more than 5000 PLN.

How long will it take?
According to Polish legislation, the procedure should not exceed 7 days from the time of the application to the court. However, in most cases the process takes at least a month or more.

This does not include the time needed to prepare all the documents and visit a notary.

Apply to court for registration electronically in the electronic system s24
This is a simpler option for registering a company and is currently preferred over the more ‘traditional’ method of registration. These documents are established electronically and signed by means of an electronic signature (Trust Profile or Qualified Electronic Signature). The request is sent to the court registered in the s24 system.

This is a much cheaper procedure. The cost is:

1. Civil Transaction Tax (PCC tax) – also depends on the amount of share capital.
If the minimum share capital is 5000 PLN, the tax is 21 PLN.
2. court filing fee – 350 PLN in total.
3. Legal aid fees (optional) – Depends on the price of the lawyer’s services.
has no notary fees, no translation fees and lower filing fees.

When registering a company with a minimum share capital of 5000 PLN, you should expect a fee of 371 PLN + possible legal aid costs.

How long will it take?
According to Polish legislation, the duration of the procedure should not exceed 1 day from the filing of the claim with the court. In practice, the process takes about 1-3 business days.

And finally
Application to the court for registration in the form of documents – in the case of small businesses the cost is approximately 967.88 PLN + possible costs for sworn translation and legal aid. And it takes at least a month to complete the application process.

Application to the court for registration electronically in the electronic system s24 – in the case of small businesses, the cost is approximately 371 PLN + possible costs for legal assistance. It takes about 1-3 days to complete the application process.

If the business you are starting does not require special solutions or detailed customization, it is better to register for the s24 electronic system – it’s cheap and fast.

Registering a business can be a very daunting task and if not done correctly can cause you a lot of trouble down the road and in the future. Therefore, professional help is always highly recommended.
